Terms of Service

Ntelegence Terms of Service

Effective Date: January 2026

The Pinpoint Group LLC, doing business as Ntelegence ("we/us/our" or "Ntelegence"), provides its services subject to the terms and conditions contained in these Terms of Service (the "Terms"). To become eligible to use Ntelegence services, you ("you/your" or "Customer," subject to Section 2) must review and accept the Terms by clicking the "I accept" check box when you create your account or through other mechanisms provided by us.

By using Ntelegence services, you acknowledge that you have read and understood these Terms and agree to be bound by all provisions hereof. If you do not agree to these Terms, you must stop using the Services immediately.

Once accepted, these Terms become a binding legal agreement between you and us. Any Order Form, contract, or addendum provided or accepted by Ntelegence will supersede these Terms to the extent of any conflict.

1. Privacy

Please review our Privacy Policy, which governs our collection, use, and protection of your personal information, to understand our practices. If you do not agree to our Privacy Policy, you must stop using our services.

2. Representations and Warranties of Acceptor

If you are accepting these Terms for a company or other entity, you hereby represent and warrant that you:

(1) Have the legal right and authority to enter into these Terms for the company or other entity as named in the Account;

(2) Acknowledge that you are accepting these Terms on behalf of a company or other entity;

(3) Are binding the company or other entity to these Terms and any Order Form or contract submitted by you;

(4) Understand that if you cease to be affiliated with the company or entity for which you entered these Terms, the Account and associated content and data is maintained as the property of the company or entity, and you will have no claim against Ntelegence with respect to the ownership, possession, or use of any such Account, content, or data.

3. Account Creation and Access

3.1 Account Creation

To use the Services, you will create an Account and provide:

  • Email address

  • Password

  • Verification of identity

  • Company name and business information

You must provide true, accurate, current, and complete information and keep that information accurate after account creation.

3.2 Account Authorization

Your Account will be subject to authorization by Ntelegence before full access is granted. We may request additional information to verify your identity and authorization.

3.3 User Access and Responsibility

The Account administrator is responsible for:

  • Authorizing users who should have access to the Account

  • Promptly notifying Ntelegence of any users whose access should be revoked

  • Managing all activity on the Account

Ntelegence is not responsible for unauthorized access resulting from your failure to revoke user permissions or secure Account credentials.

3.4 Account Restrictions

If you breach these Terms, you are strictly prohibited from creating new accounts until you remedy such breach in full.

4. Use of Services

4.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services in any manner that:

  • Violates any applicable laws, regulations, or third-party rights

  • Transmits or distributes any harmful, offensive, or illegal content, including hate speech, explicit material, or spam

  • Infringes on any intellectual property rights or proprietary interests

  • Engages in any fraudulent, deceptive, or misleading activities

  • Interferes with or disrupts the integrity of the Services or the data contained therein

  • Attempts to gain unauthorized access to the Services

Ntelegence reserves the right to terminate or suspend your access to the Services if we determine, in our sole discretion, that your use violates these Terms or is otherwise inappropriate.

4.2 Compliance with Terms

If Ntelegence determines that you have materially breached these Terms or the Acceptable Use Policy, we may suspend or terminate your access to the Services immediately upon notice to you.

5. Ownership, Confidentiality, and Use of Data

5.1 Ownership

Ntelegence exclusively owns and reserves all right, title, and interest in and to the Services, Documentation, Ntelegence Technologies, and any data in anonymized or aggregated form that does not identify you.

You exclusively own and reserve all right, title, and interest in and to your data submitted to the Services ("Customer Data"), subject to Ntelegence's rights to use and disclose Customer Data as necessary to provide the Services and as permitted by applicable law.

5.2 Use of Customer Data

You instruct us to use and disclose Customer Data as necessary to:

  • Provide the Services

  • Detect, prevent, and investigate security incidents, fraud, spam, or unlawful use

  • Respond to your support inquiries

  • Ensure the proper working of the Services

5.3 Data Security and Transmission

You acknowledge that the Internet and telecommunications networks are inherently insecure. Accordingly, we are not liable for any changes to, interception of, or loss of Customer Data while in transit.

5.4 Data Storage

Data storage is not guaranteed by us, and we will not have any liability for any damages, losses, or other consequences arising from the loss or deletion of Customer Data.

5.5 Proprietary Technology

The software, hardware, and technologies which Ntelegence uses to deliver the Services contain confidential and proprietary information and trade secrets. All rights to these technologies, including all patents, trade secrets, copyrights, and domain names, remain exclusively with Ntelegence and its licensors.

Your rights to these technologies are limited to a non-exclusive, non-transferable runtime right solely during your use of the Services and solely for the purpose of using the Services.

5.6 Restrictions on Use

Customer may not:

  • Modify, create derivative works, redistribute, decompile, reverse engineer, or disassemble the Services or Ntelegence Technologies

  • Attempt to deduce the source code, design, or data transmission characteristics

  • Use packet sniffers or other network or IP tracing technologies on the Services except for optimizing your network for Service use in accordance with our Documentation

5.7 Intellectual Property Rights

The Services and all content provided by Ntelegence, including software, text, graphics, logos, and images, are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works based on the Services without Ntelegence's prior written consent.

6. Support

6.1 General Support

Ntelegence provides General Support to Customers to help with questions about their Account and use of the Services. General Support does not come with any response time guarantees or service level commitments.

6.2 Support Limitations

  • General Support agents cannot directly modify configurations or settings in your Account

  • Ntelegence may limit the frequency and methods of support contact

  • Support is only provided to authorized Account users

  • Ntelegence is not responsible for supporting third-party hardware, software, or integrations

6.3 Support Contact

Customers can contact support through the methods specified on our website or in your Account portal.

7. Service Modifications and Availability

7.1 Service Changes

Ntelegence may change or modify the features and functions of the Services over time. We will use reasonable efforts to provide advance notice of material changes to the Services.

7.2 Service Availability

The Services may not be available in all countries or regions. Some Services may rely upon third-party facilities or services, which may not be available at all times or in all areas. Ntelegence will have no liability for any unavailability of Services except as specified in a separate Service Level Agreement.

7.3 Modifications to These Terms

We may update or modify these Terms from time to time. Material updates will be provided with at least thirty (30) days' advance notice. For other updates, notice may be posted on our website.

Your continued use of the Services after notice of updates constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Services immediately.

8. Disclaimer of Warranties

NTELEGENCE HEREBY DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO THE SERVICES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

THE SERVICES ARE PROVIDED "AS IS" AND "WITH ALL FAULTS" TO THE FULLEST EXTENT PERMITTED BY LAW. NTELEGENCE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED IN THE SERVICES.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

8.1 AI Digital Worker Disclaimer

You acknowledge that our AI digital worker products:

  • Are provided to assist in automating tasks and improving efficiency

  • May make errors or produce inaccurate results

  • Should not be relied upon for critical decisions without human review

  • Are not intended to replace human judgment or professional advice

  • May not be available 24/7 or may experience service interruptions

9. Limitation of Liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY WILL NTELEGENCE BE LIABLE TO CUSTOMER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY CHARACTER, INCLUDING DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOST SALES OR BUSINESS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, LOST DATA, OR FOR ANY OTHER DAMAGES OR LOSSES, EVEN IF NTELEGENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UNDER NO CIRCUMSTANCES WILL NTELEGENCE BE LIABLE TO CUSTOMER FOR ANY DIRECT DAMAGES IN EXCESS OF THE AMOUNTS PAID BY CUSTOMER DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE INCIDENT OR OCCURRENCE FROM WHICH THE CLAIM AROSE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ntelegence, its affiliates, officers, directors, employees, and agents from all claims, demands, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from or in connection with:

  • Your use of the Services

  • Any other parties' use of your Account

  • Any conduct or omissions of you or your users while using the Services

  • Any violation of these Terms

  • Any violation of applicable law or rights of any third party

11. Third-Party Services and Links

The Services may contain links to or integrate with third-party websites, applications, or services. Ntelegence does not endorse, control, or assume any responsibility for the content, privacy practices, or services provided by such third parties.

Your use of third-party services is at your own risk, and you should review their respective terms and policies before using them. Ntelegence shall not be liable for any issues, damages, or losses arising from your use of third-party services or integrations.

12. White Labeling

For white-labeled versions of the platform, Ntelegence and its service providers do not claim or assume any responsibility for the performance, reliability, security, or functionality of your website domain or hosting services.

By utilizing white-labeling features, you acknowledge and agree that Ntelegence is not liable for any issues arising with your website or domain, including downtime, security breaches, or technical malfunctions.

The management, maintenance, and security of your website and domain are solely your responsibility. You agree to indemnify and hold harmless Ntelegence from any claims, liabilities, damages, or expenses arising from the performance, reliability, or security of your website or domain.

13. Force Majeure

Ntelegence shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14. Termination

14.1 Termination by Ntelegence

Ntelegence may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice.

14.2 Termination by Customer

Customer may cancel Account and associated Services by contacting our support team or through the cancellation process in the Account portal.

14.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease, and you must immediately cease all use of the Services.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to principles of conflict of laws.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be instituted in a state or federal court in Denver, Colorado, and you hereby consent to the personal jurisdiction of such courts.

16. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in Denver, Colorado, and the arbitrator's decision shall be final and binding on both parties.

17. Miscellaneous

17.1 Enforceability

If any provision of these Terms is unlawful, void, or unenforceable, that provision shall be severed and will not affect the validity of remaining provisions.

17.2 Entire Agreement

These Terms constitute the entire agreement between the parties with respect to the subject matter and supersede all prior agreements or understandings. Any Order Form, contract, or addendum executed by the parties will supersede these Terms to the extent of any conflict.

17.3 No Waiver

The failure of either party to require performance of any provision shall not affect the full right to require such performance at any time thereafter.

17.4 Transferability

The right to use the Services is not transferable or sublicensable and may not be sold, rented, or timeshared.

Ntelegence may assign these Terms at any time with or without notice.

17.5 Notices

We will communicate with you by email to the address you provide in your Account or by posting notices in your Account portal. You consent to receive communications from us electronically.

18. Acknowledgment

By using Ntelegence services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety.
