Terms of Service

Acceptable Use
You (Client) agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services in any manner that:

• Violates any applicable laws, regulations, or third-party rights;  
• Transmits or distributes any harmful, offensive, or illegal content, including but not limited to hate speech, explicit material, or spam;  
• Infringes on any intellectual property rights or proprietary interests;  
• Engages in any fraudulent, deceptive, or misleading activities;  
• Interferes with or disrupts the integrity of the Services or the data contained therein.

Ntelegence reserves the right to terminate or suspend your access to the Services if we determine, in our sole discretion, that your use violates these Terms or is otherwise inappropriate.

 

Third-Party Services and Links  
The Services may contain links to or integrate with third-party websites, applications, or services. Ntelegence does not endorse, control, or assume any responsibility for the content, privacy practices, or services provided by such third parties. Your use of third-party websites, applications, or services is at your own risk, and you should review their respective terms and policies before using them. Ntelegence shall not be liable for any issues, damages, or losses arising from your use of third-party services.

Client Platform Access

Client Administrator or designated Agent  will provide written authorization for any agents or employees that should be allowed access to the client's Ntelegence account(s). It is the sole responsibility of the client to promptly alert Ntelegence or their agency/account manager about any employees that should have their account access revoked. Ntelegence is not responsible for any unauthorized account access by client's employee or agent. Upon receipt of notification to remove and employee/agent, Ntelegence will remove the user's access as promptly as possible.

Modification of Services
Ntelegence reserves the right to modify, update, or discontinue the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services. We encourage you to frequently review these Terms for any updates or changes.

 

Payment Terms
If you subscribe to a paid plan or purchase any services from Ntelegence, you agree to pay all applicable fees and charges in US dollars. All payments must be made by the due date specified on your agreement, and any recurring fees will be charged automatically on a monthly basis. Accepted payment methods include electronic payment methods and ACH/EFT. Credit cards are not accepted. All fees are exclusive of applicable taxes, which will be added to the total amount due. Service may be suspended or cancelled due to non-payment.

 

Contract Terms
Contract terms will be subject to the signed agreement between Ntelegence and the responsible party. All contracts will be automatically renewed at the end of the given term unless a minimum ninety (90) day notice of non-renewal is provided in writing by the client. Client is responsible for monthly base fees and any additional usage after notice of cancellation. Tracking numbers or other datapoints may be released to client pending satisfaction of contract terms as defined above and/or on signed agreement. Porting-out/release of tracking numbers or other data or elements may be subject to additional fees.

Indemnification
You agree to indemnify, defend, and hold Ntelegence, its affiliates, officers, directors, employees, and agents harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your violation of these Terms or your misuse of the Services.

 

White Labeling and Website Domains
For white labeling versions of the platform, Ntelegence or its assigned provider(s) do not claim or assume any responsibility for the performance, reliability, security, or functionality of your website domain or hosting services. By utilizing the white-labeling feature, you acknowledge and agree that Ntelegence is not liable for any issues that may arise with your website or domain, including but not limited to downtime, security breaches, or technical malfunctions. The management, maintenance, and security of your website and domain are solely your responsibility. Furthermore, you agree to indemnify and hold harmless Ntelegence, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to the performance, reliability, or security of your website or domain.

Force Majeure
Ntelegence shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

 

Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, USA, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be instituted in a state or federal court in Denver, Colorado, and you hereby consent to the personal jurisdiction of such courts.

Intellectual Property Rights
The Services and all content and materials provided by Ntelegence, including but not limited to software, text, graphics, logos, and images, are the property of Ntelegence or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, modify, distribute, or create derivative works based on the Services or any part thereof without Ntelegence's prior written consent.

Dispute Resolution 
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Denver, Colorado, and the arbitrator's decision shall be final and binding on both parties.

Termination
Ntelegence may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease, and you must immediately cease all use of the Services.

Privacy Policy
Ntelegence's collection, use, and protection of your personal information is governed by our (https://www.ntelegence.com/privacy), which is incorporated into these Terms by reference.

Modifications to Terms
Ntelegence reserves the right to modify these Terms of Service at any time without prior notification. We encourage you to review these Terms periodically for any updates or changes.
